Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Access mobile application, web application, and related services (collectively, the “Service”) operated by 9429-2232 Québec inc., operating under the name “ProductShop” (“Access”, “we”, “us”, or “our”).

By creating an account, installing the application, or using any part of the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

“Resident” means an individual end user of the Service who has been associated with one or more units in a building managed via Access.

“Organization” means a property owner, property manager, condominium board, or other entity that has contracted with Access to deploy the Service across one or more buildings.

“Resident+” means the optional paid subscription that unlocks additional features within the Service for an individual Resident.

“Building Plan” means a subscription arranged by an Organization that extends premium features to every Resident of a covered building.

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. You may only register an account if you are an authorized occupant, owner, or invited resident of a building that uses the Service.

You are responsible for keeping your login credentials confidential, and for all activity that occurs under your account. Notify us immediately at support@useaccess.io if you suspect unauthorized access. We may suspend or terminate accounts that we reasonably believe have been compromised.

Subject to your compliance with these Terms, Access grants you a personal, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the Service for your own personal, non-commercial use as a Resident.

This license does not transfer ownership of the Service or any related intellectual property to you. We reserve all rights not expressly granted.

You agree not to use the Service to:

• violate any applicable law, regulation, or third-party right;

• grant building access to anyone you are not authorized to admit, or otherwise misuse the door-unlock, access-code, or invitation features;

• interfere with, disrupt, or attempt to gain unauthorized access to any part of the Service, related infrastructure, or another Resident’s account;

• reverse engineer, decompile, or otherwise attempt to derive the source code of the Service, except to the extent that applicable law prohibits this restriction;

• use automated means (bots, scrapers) to interact with the Service, except where expressly permitted; or

• record, store, or share images or video captured by Service cameras in a way that violates the privacy of other Residents or visitors, or applicable law.

You retain ownership of any content you submit through the Service (such as access-code purposes, invitation messages, or reported issue descriptions). You grant Access a worldwide, non-exclusive, royalty-free license to host, store, transmit, and display that content solely as needed to operate the Service. You are responsible for ensuring your content is accurate and that you have the rights to submit it.

The Service, including its software, designs, logos, and content (other than user-provided content), is owned by Access or its licensors and is protected by intellectual property laws. Nothing in these Terms transfers any of those rights to you.

Our handling of personal information is described in our Privacy Policy, which forms part of these Terms. By using the Service you confirm you have read and understood that policy.

We aim to keep the Service available continuously, but we do not guarantee uninterrupted access. Maintenance, network issues, hardware in your building, or third-party outages (Twilio, RevenueCat, App Store, Play Store, etc.) may temporarily disrupt the Service.

We may add, modify, or remove features over time. We will give reasonable in-app notice of any material changes to features that meaningfully impact paid subscribers.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service if you breach these Terms, create risk for Access or other Residents, or if your Organization removes you from a covered building.

Sections that by their nature should survive termination (including 8, 12, 13, 14, 15, and 16) will continue to apply after your account ends.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ACCESS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ACCESS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID TO ACCESS FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (ii) CAD $50.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

You agree to defend, indemnify, and hold Access and its officers, directors, employees, and affiliates harmless from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of (a) your use of the Service in violation of these Terms, (b) your violation of any applicable law or third-party right, or (c) any content you submit through the Service.

These Terms are governed by the laws of the Province of Québec and the laws of Canada applicable in Québec, without regard to conflict of laws principles.

The courts of the judicial district of Montréal, Québec, will have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Service, and you consent to that jurisdiction. This clause does not affect any mandatory consumer-protection rights you have under your local law.

We may update these Terms from time to time. When we do, we will update the effective date at the top and, where the change is material, notify Residents in-app or by email. Your continued use of the Service after the new effective date constitutes acceptance of the revised Terms.
